What is a UBO and a Registrable Controller?

Singapore's corporate transparency requirements mean every company must maintain accurate records of its Ultimate Beneficial Owners (UBOs) and Registrable Controllers.

A Registrable Controller is an individual who has significant interest in or control over the company. This typically includes anyone who holds more than 25% of shares, more than 25% of voting rights, or has the right to appoint a majority of directors.

The UBO goes a step further - it's the natural person who ultimately owns or controls the company, even if that ownership is through a chain of companies. This is part of global anti-money laundering efforts.

Companies must maintain a Register of Registrable Controllers and update it within 2 business days of any changes. Failure to comply can result in significant penalties.
